1. Acceptance of Terms

By accessing and using DealTrust ("the Platform", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

DealTrust is a digital trust platform for real estate deals that provides:

• Secure and tamper-proof recording of property transactions
• Digital e-signature capabilities for legal document signing
• Commission tracking and management system
• Document management and storage
• Complete audit trail of all deal activities
• Multi-role support for brokers, owners, buyers, builders, and banks

3. User Accounts and Registration

3.1 Account Creation

To access certain features of the Platform, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and identification
• Accept all responsibility for activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Types

The Platform supports multiple user roles including:

• Admin: Full system access and management
• Broker: Create deals, manage properties, claim commissions
• Owner: Manage properties, authorize brokers, pay commissions
• Buyer: View deals, confirm introductions, sign documents
• Builder: Track channel partner deals and sales pipeline
• Bank: Read-only verification of property and broker involvement

4. Use of Service

4.1 Permitted Use

You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Platform in any way that violates any applicable law or regulation
• Transmit any malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to any portion of the Platform
• Interfere with or disrupt the Platform or servers connected to the Platform
• Use the Platform to commit fraud or engage in deceptive practices
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

4.2 Content and Data

You are responsible for all content and data you upload, post, or transmit through the Platform. You warrant that:

• You own or have the necessary rights to use and authorize the use of such content
• Your content does not violate any third-party rights, including intellectual property rights
• Your content is accurate and not misleading

5. Subscription and Payment

5.1 Subscription Plans

DealTrust offers various subscription plans with different features and pricing. Current plans include:

• Starter: ₹999 per month - For individual brokers
• Professional: ₹2,999 per month - For growing agencies
• Enterprise: Custom pricing - For large organizations

5.2 Payment Terms

By subscribing to a paid plan, you agree to:

• Pay all fees associated with your subscription
• Provide accurate billing information
• Authorize us to charge your payment method for all fees
• Understand that all fees are non-refundable except as required by law

5.3 Billing Cycle

Subscriptions are billed monthly in advance. Your subscription will automatically renew unless you cancel before the renewal date.

6. E-Signature and Legal Validity

6.1 Legal Recognition

E-signatures created through DealTrust are legally binding and comply with the Information Technology Act, 2000 of India. All signatures are cryptographically secured and provide complete legal validity.

6.2 User Responsibility

You acknowledge that:

• E-signatures have the same legal effect as handwritten signatures
• You are responsible for ensuring the accuracy of documents before signing
• You cannot revoke a signature after it has been applied, except in cases of fraud or duress

7. Commission Tracking

The Platform provides commission tracking and management features. You understand that:

• DealTrust facilitates commission claims and settlements but is not a party to commission agreements
• All commission amounts and terms are determined by agreements between brokers and property owners
• DealTrust is not responsible for payment disputes between parties
• The Platform provides transparency but does not guarantee commission payments

8. Intellectual Property

8.1 Platform Ownership

All content, features, and functionality of the Platform, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of DealTrust and are protected by copyright, trademark, and other intellectual property laws.

8.2 User Content

You retain ownership of all content you upload to the Platform. By uploading content, you grant DealTrust a non-exclusive, worldwide, royalty-free license to use, store, and display such content solely for the purpose of providing the Platform services.

9. Privacy and Data Protection

Your use of the Platform is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your information.

10. Limitation of Liability

To the maximum extent permitted by law:

• DealTrust provides the Platform "as is" and "as available" without warranties of any kind
• We do not guarantee that the Platform will be uninterrupted, secure, or error-free
• We are not liable for any indirect, incidental, special, or consequential damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim

11. Indemnification

You agree to indemnify and hold harmless DealTrust, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit or transmit through the Platform

12. Termination

12.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period.

12.2 Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms
• You engage in fraudulent or illegal activities
• You fail to pay subscription fees
• We are required to do so by law

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform shall be resolved through:

1. Good faith negotiation between the parties
2. If negotiation fails, through binding arbitration in accordance with the Arbitration and Conciliation Act, 2015
3. Arbitration shall be conducted in [City, State], India

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of [City, State], India.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Platform. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and DealTrust regarding the use of the Platform.
